In no event shall either party's maximum aggregate liability arising out of or related to this Agreement exceed the total fees paid or payable to Supplier in the twelve (12) month period immediately preceding the event giving rise to liability. Notwithstanding the foregoing, the cap on liability set forth in this Section shall not apply to claims arising out of data privacy breaches, Supplier's indemnification obligations, or gross negligence.
